1. Agreement

These Terms of Service ("Terms") govern your use of the Ledger Black platform operated by Black Whole Solutions Limited (trading as Ledger Black), a company registered in New Zealand. By accessing or using Ledger Black, you agree to be bound by these Terms.

2. Service Description

Ledger Black provides a CRM and practice management platform designed for licensed financial advisers in New Zealand. The service includes client relationship management, compliance automation, document generation, electronic signatures, video meetings, and related professional tools.

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, ensuring the accuracy of information you enter into the platform, and complying with all applicable laws and regulations including the Financial Markets Conduct Act 2013, the Code of Professional Conduct for Financial Advice Services, and the Privacy Act 2020.

4. Data Ownership

You retain full ownership of all data you enter into Ledger Black. We act as a data processor on your behalf and will not access, use, or share your data except as necessary to provide the service or as required by law. Your data is stored on New Zealand-owned infrastructure. Some AI-powered features currently use specialist providers that may process data overseas under strict contractual data-protection terms (no resale, no model training); we continue to strengthen on-shore processing. 5. Intellectual Property

The Ledger Black platform, including its software, design, and documentation, is the intellectual property of Black Whole Solutions Limited. Your subscription grants a non-exclusive, non-transferable licence to use the platform for your financial advice practice.

6. Limitation of Liability

Ledger Black provides tools to assist financial advisers but does not provide financial advice. You are solely responsible for the financial advice you give to your clients. Ledger Black is not liable for advice decisions made using the platform.

7. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms will be resolved in the courts of New Zealand.
